Terms of Service

1. Acceptance of terms

By accessing or using the SiteYak service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Service description

SiteYak provides an AI-powered chat widget that site owners can install on their websites. The widget allows website visitors to ask questions and receive answers generated by an AI model trained on the content the site owner has chosen to index.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.

3. Accounts and registration

• You must provide accurate and complete registration information and keep it up to date.
• You are responsible for maintaining the confidentiality of your account credentials, including your Site ID.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorised access to your account.
• You must be at least 18 years old to create an account.

4. Permitted use

You may use the Service to:

• Install the SiteYak widget on websites you own or are authorised to modify.
• Index publicly accessible content from your own website to power the chat widget.
• Allow website visitors to interact with the AI-powered chat widget.
• Manage your account, branding, and configuration through the SiteYak dashboard.

5. Prohibited use

You must not:

• Use the Service to collect, store, or transmit sensitive personal data including passwords, payment card numbers, government ID numbers, or protected health information.
• Index content that you do not own or are not authorised to use.
• Attempt to reverse-engineer, decompile, or extract the source code of the SiteYak widget or platform.
• Use the Service in a way that violates any applicable law or regulation.
• Abuse the Service in a way that disrupts or degrades the experience for other customers.
• Circumvent usage limits, billing mechanisms, or access controls.
• Use the Service to generate spam, misleading information, or content designed to deceive visitors.
• Resell or sublicense access to the Service without our written consent.

6. Your content

You retain ownership of all content you index through the Service ("Your Content"). By indexing content, you grant SiteYak a limited, non-exclusive licence to store, process, and use that content solely for the purpose of providing the Service.

You represent and warrant that you have all necessary rights to index Your Content and that doing so does not violate any third-party rights or applicable law.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content and the AI-generated responses that result from it. SiteYak does not review or endorse AI responses generated from your indexed content.

7. Billing and payment

• Fees are charged according to the plan you select. Current pricing is shown at siteyak.ai/pricing.
• Pay-per-use fees are charged monthly based on billable conversations counted during the billing period.
• Subscription fees are charged monthly or annually in advance.
• All fees are non-refundable except as required by law or as expressly stated in these Terms.
• We reserve the right to change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of new pricing.
• If payment fails, we may suspend your account until payment is received.
• You are responsible for all applicable taxes.

8. Intellectual property

The SiteYak platform, widget, dashboard, and all associated software, branding, and documentation are owned by SiteYak and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

AI-generated responses produced by the Service are generated on your behalf using your indexed content. We make no claim of ownership over such responses. You are responsible for ensuring that any AI-generated responses displayed on your website comply with applicable laws.

9. Third-party services

The Service integrates with third-party providers including Anthropic (AI), Stripe (billing), Resend (email), and Cloudflare (infrastructure). Your use of the Service is also subject to those providers' terms and policies.

SiteYak is not responsible for the availability, accuracy, or conduct of third-party services. We will endeavour to notify you of any changes that materially affect the Service.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated responses will be accurate, complete, or appropriate for your use case. You use AI-generated responses at your own risk.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITEYAK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) [TODO: MINIMUM AMOUNT].

12. Indemnification

You agree to indemnify and hold harmless SiteYak and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your breach of these Terms; or (d) your violation of any third-party rights or applicable law.

13. Termination

You may cancel your account at any time through the dashboard or by contacting us. Upon cancellation, your access to the Service will end at the close of your current billing period.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where practicable.

Upon termination, your indexed content and conversation logs will be deleted according to our data retention policy (see our Privacy Policy). Billing records will be retained as required by law.

14. Governing law

These Terms are governed by the laws of [TODO: jurisdiction], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [TODO: jurisdiction], and you consent to the exclusive jurisdiction of those courts.

15. Changes to these terms
